Service terms and working arrangements

Terms and Conditions

How work is agreed, how payment works, what you own, what can and cannot be promised, and how either side can end the arrangement.

Terms at a glance

These terms explain how I work with you: how a job is agreed, how payment works, what you own, what can and cannot be promised, and how either of us can end the arrangement. They apply together with the written quote or proposal for your project. Please read both before accepting paid work.

Important: SEO Agency in Nottingham provides SEO, Google Business Profile and website services. These terms do not replace any statutory rights you have as a consumer.

1. Who I am

David Walsh trading as SEO Agency Nottingham provides SEO, Google Business Profile and website services through this website, which uses the name SEO Agency in Nottingham.

Phone: 0115 646 9772
Email: hello@seoagencyinnottingham.co.uk
Postal address for formal correspondence: Warser Gate, Nottingham, NG1 1NU

In these terms, “I”, “me” and “my” mean David Walsh trading as SEO Agency Nottingham. “You” means the person or business I am working for.

2. How we agree a piece of work

Free reviews come first, and they are free. An initial review is an assessment of what you need and what to do next. It is not a full audit, free implementation or a commitment on either side, and it creates no contract.

Paid work starts with a written quote or proposal. It sets out the service, the price, what is included and excluded, what I need from you, and any timescale. A contract is formed when you accept it in writing. An email saying “yes, go ahead” is enough.

Where the proposal and these terms differ, the proposal wins, because it was written for your specific job.

Changes to scope are agreed before they are done. If you ask for something outside the proposal, I will tell you the cost and any effect on timing before starting it. A scope change is binding only when we both agree it in writing.

Estimates depend on the information available. If access, technical conditions or information supplied after acceptance reveals work that could not reasonably have been identified beforehand, I will explain the issue and obtain written approval before carrying out additional chargeable work.

Named dates are targets unless the proposal expressly describes one as a fixed deadline. I will tell you promptly if a material delay becomes likely.

3. Prices and payment

Prices are as published on the relevant service page or Pricing page on the date you accept a quote, or as stated in your proposal.

Type of work When payment is due
Fixed-price audits, reviews and one-off fixes In full before the work starts
Website builds and redesigns 50% to book the project; the remaining 50% before the site goes live
Monthly services Monthly, in advance
Work quoted after a diagnosis As set out in that quote

Invoices are payable within 14 days unless the proposal says otherwise.

If an invoice is not paid on time, I may pause work until it is. For business clients, I may also charge statutory interest and compensation where available under the Late Payment of Commercial Debts (Interest) Act 1998.

Third-party costs, such as premium theme or plugin licences, paid tools or advertising spend, are never hidden in a headline price. They are itemised in the proposal and agreed before anything is bought.

4. Terms for specific services

Google Business Profile

  • Profile audit credit: if you commission profile optimisation within 30 days of a profile audit, the audit fee is deducted from the optimisation fee.
  • Monthly management has no minimum term and no set-up fee. It runs month to month, and you can cancel at any time by email. Cancellation takes effect at the end of the month you have already paid for, and no further payments are taken.
  • Suspension and appeal work: I prepare and submit evidence on your behalf. Google alone decides appeals, verification and reinstatement.

Full details are on Google Business Profile.

Ongoing local SEO

  • Ongoing local SEO has no minimum term. You may give notice by email at any time, subject to the 30-day notice period stated in your written quotation. Fees remain due during the notice period, and no further payments are taken after it ends.

Full details are on Local SEO Nottingham.

Multi-location SEO

  • The multi-location audit is returned within 10 working days of receiving website access, your location list and Business Profile details. If missing access or unclear ownership will extend that, I tell you before starting.
  • Ongoing coordination is charged per eligible location per month, with a minimum of three locations. It has no minimum term.

Full details are on Multi-Location SEO.

Websites

  • Timescale: most five-page builds take three to four weeks from approved scope to launch, provided content and feedback arrive when agreed. The proposal gives the date range for your project.
  • Revisions: the proposal states the number of design concepts and revision rounds, and what counts as additional scope.
  • Hosting and maintenance are not included in a build price. If you want me to arrange either, it is quoted separately.
  • Launch happens only after your approval.
  • Post-launch checks at 30 and 90 days are included for new websites and qualifying redesigns.

Full details are on Website Design & Development.

SEO recovery

Diagnosis is a fixed price. Implementation is quoted separately once the diagnosis shows what is needed.

5. What I need from you

Most delays come from waiting on access, content or decisions, so the responsibilities are set out here and in your proposal.

You agree to:

  • provide the access I need, such as Search Console, analytics, WordPress, hosting or Business Profile manager access, and only for as long as the work needs it
  • supply accurate information about your business: services, prices, addresses, opening hours and policies
  • supply only images, text and other material you own or have permission to use
  • reply to questions and approve work within a reasonable time
  • keep your own backups of your website, as well as any I take

Where a timescale depends on something from you, it moves by the length of any delay in receiving it. If required access, content, approval or feedback remains outstanding for 30 days after a written reminder, I may pause the project and propose a revised timetable. If the delay continues for 60 days, I may close the project under section 9 after giving written notice. Any restart date depends on current availability, and any additional cost will be agreed before work resumes.

You remain responsible for checking factual statements, prices, legal claims and regulated information about your business before approving publication. My review does not constitute legal, tax or regulatory advice.

I will not carry out work that breaks Google’s guidelines or the law. That includes fake or incentivised reviews, false addresses, keyword-stuffed business names or pages built to mislead. If a request would put your profile or website at risk, I will say so and decline that part.

6. Accounts, access and ownership

Your accounts stay yours. You retain control of Google accounts that belong to you and primary ownership of your Google Business Profile where you are already its primary owner. Your domain remains yours where it is registered in your name, and your hosting account remains under your control where it is held in your name. If an account, profile, domain or hosting service is controlled by an existing provider or another person, we agree any required access or transfer arrangements in writing before work begins; these terms do not themselves transfer ownership or control. I work with manager or user access, never with your main Google Account password, and my access should be removed when the work ends. I will remind you to remove it.

Your website deliverables are yours after full payment. Once a website project has been paid in full, you own the bespoke website files and content created specifically for you, subject to any third-party rights and licences. Your domain and hosting remain yours where they were registered in your name. Administrator access is handed over at launch.

Third-party and open-source components remain subject to their own licences. Themes, plugins, fonts, stock assets, software and platform services are not transferred beyond the rights their suppliers permit. I will identify material paid licences in the proposal or handover. Renewal, compatibility and continued availability are controlled by their suppliers unless a separate maintenance agreement says otherwise.

Pre-existing materials remain with their existing owner. You retain your materials. I retain tools, code, templates and methods created before or independently of your project. Once paid, you receive the rights reasonably needed to use any such material embedded in the agreed deliverables.

Reports and written work are yours to use for your business once paid for.

My working methods stay mine. I keep the right to reuse my own general methods, templates and know-how. This never includes your content, data or confidential information.

7. What cannot be guaranteed

Google decides what appears in its results, when and where. So I do not guarantee:

  • particular rankings, positions in Google Maps or the Local Pack, traffic, calls or enquiries
  • that a profile will be verified, an appeal upheld or a suspension lifted
  • that a manual action will be revoked or a security warning removed by a set date
  • that every page will be indexed
  • that rankings will be unchanged after a redesign or migration

What I do promise is that the agreed work is carried out with reasonable care and skill, as described in your proposal, and that findings are reported honestly, including when the evidence is uncertain.

8. Third-party services

Your website and visibility depend on services I do not control, including Google, your host, your domain registrar, WordPress and its plugins. I am not responsible for their outages, policy changes, price changes or decisions, except where a loss is caused by my own failure to use reasonable care and skill. Where one of them affects your work, I will tell you and explain the options.

I may use specialist subcontractors to help deliver agreed work. I remain responsible for the services I have agreed to provide and will require subcontractors to protect confidential information and personal data appropriately.

I may use reputable software and AI-assisted tools for research, drafting, coding, analysis or quality checks. Their output is reviewed before it is used in deliverables. I will not knowingly submit your confidential information to a public AI service contrary to our agreement or the applicable privacy terms.

9. Cancelling

If you are a consumer

If you are buying as an individual rather than mainly for a business, and the contract was made at a distance—for example by email, phone or online—you normally have 14 days from the day the contract is made to cancel without giving a reason.

If you expressly ask me to start work within those 14 days, you will pay a proportionate amount for work supplied up to the point you cancel. If the service has been fully completed within the 14 days at your express request, and you acknowledged in advance that the cancellation right would be lost once the service was fully performed, the right to cancel no longer applies.

To cancel, email hello@seoagencyinnottingham.co.uk with a clear statement that you are cancelling, or use the model form below. Any refund due is paid within 14 days after I am informed of your decision to cancel.

Model cancellation form

Complete and return this form only if you wish to cancel the contract.

To: SEO Agency in Nottingham
Email: hello@seoagencyinnottingham.co.uk

I give notice that I cancel my contract for the following service:

Ordered on:

Name of consumer:

Address of consumer:

Signature of consumer, only if this form is sent on paper:

Date:

If you are a business

  • Monthly services can be cancelled by email at any time, subject to the applicable notice arrangement in section 4 and your written quotation.
  • One-off work and website projects can be cancelled by email at any time. You pay for work completed up to that point and for third-party costs already committed. Work paid for in advance but not yet done is refunded.

If I need to end the work

I may suspend or end a contract by email if an invoice remains unpaid after a reasonable written reminder, if you materially breach the agreement and do not remedy a remediable breach within 14 days of notice, if you ask for work that breaks Google’s guidelines or the law, or if something outside my reasonable control makes the work impossible. You pay only for work completed and unavoidable third-party commitments, and anything paid in advance for work not done is refunded.

When work ends, each party must pay sums already due and return or securely delete the other party’s confidential information when reasonably requested, subject to legal, tax, insurance and backup-retention requirements. Any clauses intended to continue—including ownership, confidentiality, data protection, liability and payment obligations—remain effective.

10. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that the law does not allow to be limited.

If you are a business client:

  • I am not liable for loss of profit, revenue, business, goodwill or data, or for any indirect or consequential loss.
  • Subject to the paragraph above, my total liability for a claim is limited to the fees you paid for the service the claim relates to in the 12 months before it arose.

If you are a consumer: I am responsible for loss or damage you suffer that is a foreseeable result of my breaking these terms or failing to use reasonable care and skill. Nothing in these terms removes your statutory rights, including the right for services to be performed with reasonable care and skill, within a reasonable time where no time is fixed, and for a reasonable price where no price is agreed. Depending on the circumstances, the law may entitle you to repeat performance or an appropriate price reduction. I am not responsible for business losses arising from a contract made as a consumer.

If you are a business client: the exclusions and cap above do not apply to payment obligations, fraud, deliberate default, breach of confidentiality, infringement of the other party’s intellectual property rights, or liabilities that cannot lawfully be excluded. Each party must take reasonable steps to limit avoidable loss. The liability cap will be applied only to the extent permitted by law.

11. Confidentiality, data and case studies

Information you share about your business stays confidential and is used only to provide the agreed services, manage the relationship, meet legal duties and protect legitimate business interests. Personal data is handled as described in the Privacy Policy.

Where I process personal data solely on your documented instructions—for example, data accessed within your website, analytics, CRM or enquiry systems—the parties will comply with applicable UK data-protection law. I will use appropriate technical and organisational safeguards, restrict access to people who need it, notify you without undue delay after becoming aware of a relevant personal-data breach, assist with reasonable compliance requests, and return or delete processor-held personal data when the service ends unless the law requires retention.

You authorise the use of necessary service providers and subcontractors for hosting, communications, analytics, security and delivery of the work. I remain responsible for imposing appropriate data-protection obligations on any sub-processor. I will tell you before making a material change to sub-processors where the processing arrangement requires this, so you can raise a reasonable data-protection objection.

You are responsible for having a lawful basis, providing required privacy information and giving lawful instructions for personal data you ask me to process. If a project involves regular or higher-risk processing, international transfers, special-category data or detailed processing instructions, we will agree a separate data-processing schedule before that processing begins.

Your work is never published without your permission. Your business is named in a case study, sample report or portfolio only with your written agreement. Without it, any mention is fully anonymised or left out.

12. Security, access and backups

I will use reasonable security measures when handling access credentials and systems. You should provide individual user or manager access wherever possible, enable multi-factor authentication where available, avoid sending passwords by ordinary email, and remove access that is no longer needed.

Unless maintenance or backup services are expressly included, you remain responsible for ongoing updates, monitoring, renewals and backups after handover. Before making material website changes, I will take or confirm an appropriate backup where access and the agreed scope allow. No online system can be guaranteed completely secure or continuously available.

13. Review, approval and website launch

You must review work and report material errors or deviations from the agreed scope within a reasonable period stated in the proposal, or within 10 working days if no period is stated. Approval, publication at your request, or use of the deliverable confirms acceptance of the visible work, but does not remove rights relating to defects that could not reasonably have been found during review.

For website projects, launch follows your approval and payment of any launch-stage balance. I will correct faults caused by my work that are reported during any included post-launch checking period. New features, content changes, third-party changes and faults caused by later edits, hosting, plugins or other suppliers are outside that correction commitment unless the proposal says otherwise.

14. Complaints

If something is not right, contact me first at hello@seoagencyinnottingham.co.uk or on 0115 646 9772. I will acknowledge your complaint within five working days and aim to resolve it as quickly as possible.

15. Events outside reasonable control

Neither party is responsible for delay or failure caused by events outside its reasonable control, such as major service outages, cyber incidents not caused by that party’s breach, natural disasters, widespread network failure or government action. The affected party must notify the other, take reasonable steps to reduce the effect and resume performance when reasonably possible. If the interruption continues for more than 30 days and materially prevents the service, either party may end the affected work by written notice; prepaid fees for work not supplied will be refunded.

16. Notices and communication

Routine project communication and contractual notices may be sent by email to the addresses used in the proposal or most recently notified in writing. A notice is treated as received on the next working day after it is sent, unless the sender receives a delivery-failure message. This does not apply where the law requires another method.

Neither party may transfer the contract without the other’s written consent, except that I may use subcontractors as described in these terms. If any clause is found unenforceable, the remaining clauses continue. A delay in enforcing a right does not waive it. Only the parties to the contract may enforce it.

17. Changes to these terms

I may update these terms from time to time. The version in force when you accepted your quote applies to that work, unless we both agree otherwise in writing.

18. Law

These terms are governed by the law of England and Wales, and the courts of England and Wales can hear any dispute. If you are a consumer living in Scotland or Northern Ireland, you may also bring proceedings in your local courts.
